normal style='text-indent:24.0pt;mso-char-indent-count:2.0;line-height:29.5pt;mso-line-height-rule:exactly'>问题1：PPP项目合同内9.3项目运营内容：若由于本项目公交、客运运营导致原公交公司、客运公司人员分流，项目公司应配合政府方的人员分流安排，接纳原公交公司、客运公司人员。由于公交公司、客运公司人员庞杂，国企身份下接收难度大，请政府重新予以考虑。

normal style='text-indent:24.0pt;mso-char-indent-count:2.0;line-height:29.5pt;mso-line-height-rule:exactly'>问题2：请问政府方履行出资责任的子公司是否已成立?为便于项目编标，请予以提供。若由邳州先行成立的子公司作为建设单位，社会资本方通过增资扩股的方式改组政府先行成立的项目公司，根据国务院国资委财政部令第32 号《企业国有资产交易监督管理办法》，国有股权转让必须资产评估与进场交易，所需流程较复杂、时间周期较长，因项目较为紧急是否可由政府出资代表和社会资本方共同出资成立项目公司。
